The news late yesterday not good for the potential AT&T Time Warner deal as the Department of Justice. Late yesterday afternoon. Sued the company trying to stop the deal from going through chucked out and Michael Armstrong here today Barry Armstrong. Well I'm a little pre pre pre Thanksgiving holiday. And Mike this deal we we've been hearing about this for the last few weeks that the that the DOJ. May look to step in and effectively block this merger. They're trying to do exactly that as of yesterday with a lawsuit filed to try to prevent this merger from going through. Yanked him this goes way back I mean this goes back to trump on the campaign trail talk about this deal and the potential for it to go through search goes back pretty far. Or talking about here is AT&T who keep in mind owns DirecTV. Purchasing Time Warner which lets talk about their assets here what do they. In terms of Time Warner yeah it was Time Warner on. So Tom Ward the single biggest name the people most familiar with is probably the Warner Bros. movies to be sure okay. So you talk about you know a something like that obviously CNN falls under their umbrella to TNT so. What Elson and a true TV a couple of other stations like that so you know it's it's a fairly substantial. You asset pool they have as far as the that the content. What's important to note here is that Time Warner is not the same as Time Warner people. Right and this is something that I think a lot of people get mixed up in in the sale I understand what they want AT&T be owning you know more cable subscribers. That's not the case your Time Warner is the entertainment division it is a completely separate company from Time Warner Cable that was spun off for the senior seminary years ago. At this point of Time Warner itself. Does not have any. It does not deliver cabled anyone or anything along those lines they are simply a content of right now okay in what makes the the proposed rejection of this merger so winter staying. Is this is what we call a vertical mergers not a horse on the one trying to control more of a single industry it's a vertical one trying to control. The pipeline. Going from the company to the consumer and so. You know in the case of all use utility as an example you can have utilities that produce power that also distribute power that's an example of vertical integration justice similar here. You have a company that is delivering content so you effectively being that cable company to give you that connection. But also producing content in those kinds of mergers the last time we had a vertical merger that was rejected by the DOJ. I believe was in the 1970s yeah. OK so this is something that is it's un usual but I'll make that in the case here. That that doesn't mean that it's wrong. Kept so lay out the lay at the K three how does this adversely impact consumers to that's what the department just is going to argue here is that this deal would hurt consumers what does it do. Here's my view on how can hurt consumers if this coupled with what the DOJ or rather with the FCC is doing. As far as trying to repeal the net neutrality rules yeah. Can potentially create a situation. Where AT&T is able to give its content preferential treatment. And prevent customers from receiving other contents for the same cost driving up costs for consumers. Kevin how is that any different from Comcast's acquisition of NBC. I would make an argument that should have been allowed either. So I'm someone who believes very strongly. Ian competition I don't necessarily believe in a pure free market is the free market the company is able to come in and do whatever they want to. But I'm someone who believes in trying to create a competitive market in this type of merger while in a lot of industries. Is it not something that negatively impacts consumers. In Telecom. It's a very different ball game for what you see in something like retailer so forced simply because there are four more limited options as far as where you can get your cable from we know this if you go around the most cable markets. Doctor if you're going to what try to find cable. Down South Shore up what we have for options usually just stuck Comcast and Verizon. So you've got two options. As far as I know. Mike you here in you know that 128 what you have that it is same thing Verizon Comcast you probably still have. The other one that's in town but you can also go satellite you can go DirecTV could go DISH Network so you've got two to four options for at most don't unlike retail where pay if you don't like what Amazon's selling you on line is a great I've got a million other stores I can go to sure. And so from my perspective the 'cause there are so few companies that actually run that pipe in your home and you have so few options for competition and because it's it's. Keen to try to switched cable companies it's like the worst experience ever intentionally to. I view this as a different scenario from other industries and so while I'm not sitting there siding with the DOJ saying hey they're a 100% right. I sit there SA. Look I get that in a lot of other industries this wouldn't you know we don't even bat an eye at this merger. This one I I don't know if it is open and shut as people were making it out to. DM II. Agree I think it's going to be an uphill battle and I think that it you know a lot of people sanity and she's got this in the bag I don't think they haven't met I think it's going to be difficult. Difficult argument but I think. You have a very difficult time overturning precedent. They have a very tough to a judge has a very tough time saying OK well. We in the administration approved the Comcast NBC ya I know is different administration but nonetheless it was approved and this deal. It's not all that different from that one so how do like overturned precedent here. So here here's a question so wit the the Comcast and NBC universal deal that happened what was that five or six years ago Assam something went longer it was somewhere in that ballpark. One of the requirements that the DOJ. Put in place in order to have that deal goes through to was a requirement. That Comcast continued to sell. NBC universal content to competing distributors at the same rate that they would effectively purchase that content from the cell yeah. And so. I look at this and say OK maybe if we find a compromise there you're able to to get some substance something like that. In place and that's what I think is strange is it doesn't seem like those negotiations happened it doesn't seem like there and I know a lot of those happen in back rooms and there are necessarily disclose the public. But it doesn't seem like the Department of Justice went and negotiated with AT&T and Time Warner and said okay well that we put in these few Todd Yasser restrictions then we'll let that be a deal goes through it seemed like it was just know we're moving to block the deal we are always gonna move to block this deal and it is. We're fighting this thing tooth and nail. Here's the other thing that I'll say that makes this different from the Comcast NBC universal merger. AT&T has a huge wireless business in India wireless data is the currency that you have effectively. And so. This in this case AT&T because of the ability if the FCC changes rules which it looks like they will to what they call. Allowing 40 rating where a company can say look. AT&T could say all of our direct TV content is not gonna count against your data plan that all was said makes it very difficult. For any other customers or any other competition to come in. And compete against than simply because they're given that edge there so AT&T does have some incentives here. That I don't think. Comcast NBC universal did when that merger went through BF 67 years ago so yep I just you know I look at this and I have some questions about it and you know people say out near chuck you shouldn't worry about those things but. I I I worry about the lack of different voices and markets are worried about the lack of ability to switch to tube legitimate competition. And those are things that I think the president excuse. I I agree with you but I think that's an issue of AT&T and DirecTV being too business owner I don't believe that purchasing content provider like Time Warner. It is exacerbate that issue because. Content production is so much more diverse now we have all these different companies getting into content production via Amazon Netflix. CBS NBC the Time Warner all of these different companies are doing it and so there are still. A lot of different competitive options out there if you are looking to watch TV show or if you're looking to broadcast sports game you can go to a lot of different places but again believe this is department justice he were those. One thing that we can save pretty definitively this is going to lob be tied up for awhile AT&T CEO. Coming out and Randall Stephenson saying. Were were pretty much gonna take the DOJ to court. Eight a B and says see how it impacts the overall market in terms of mergers and acquisitions because you now are more concerned about. Other vertical integrations. Sticking with what's going on and media but with a more local tilts CBS TV stations not available for DISH Network viewers right now. I hate if you like we have all these different things that pop up like almost every six months with either dish or DirecTV negotiating with these local networks and just. Not making it works or yeah days CBS formally dropped as of 2 AM on Tuesday. And not caring and offered to for dish network's. Locally or really anywhere here so. Tough after dished dips to subscriber does CBS have any of the Thanksgiving football games you play do they do do not just one of them are two words I believe it's one it's usually one on CBS from one on fox and then the other and NBC they split him up the LA damp so they were actually have DISH Network anyway. And you know certainly if you're doing something that's debatable than your running into issues and where I think you Google would run into real issues here is they are in this big argument along with FaceBook along with Twitter along with a bunch of other companies know whether or not. They are news companies. And if they are that there's a whole series of regulations that they could face and if they. If they go down the wrong direction here than it could lead to more regulations for their businesses and don't do this right. Yet so effectively the the fear is that you know someone you know walks and says hey is the moon made of cheese Google and Google says yes of course the moon's made of cheese and then all of a sudden you're walking around saying wolf Google says so then it has to be true now and obviously you know that's a you kind of bailed. One interpretation every you can you can ask who will serious questions as well and if you're getting. You know incomplete information and not knowing where came from. All of a sudden you're in a whole heap of trouble because you know now you're believing that not always moon made of cheese but you can take it's truly need it. And it and that's where you get in some real trouble. The good news here I mean if there's a silver lining me there's a study done a 5000 questions. I don't understand what is happening. You you you literally have hundreds of workers that are employed by a white fish as subcontractors now. And there were actually some talks going on the we're gonna keep these people on the island until. Mid December under new contracts direct with prep book. That obviously isn't happening now so it's just a case of. Horrible mismanagement head on understand I don't I don't understand where it's coming from right in day. I don't know who's controlling prep I don't I don't understand it it doesn't make any sense to me. How these things were negotiated and why it's just feeling left right center mean. It doesn't sound it's not a case where preface coming out and saying hey we literally just don't have the money to pay these organizations they're getting funding they're getting right now on getting there are coming in. And they're not making the payments of the people are leaving a what are you doing.
